Technical Sizing & Engineering Disclaimer

CRITICAL PROVISION: The Company frequently provides preliminary technical calculations, fluid dynamics advice, pneumatic sizing estimations, stroke/bore suggestions, and custom circuit design guidelines. All such technical consultations, documentation, or advisory parameters are provided strictly on an "Advisory/As-Is" basis. Industrial equipment operators, system developers, and machinery purchasers bear the exclusive and final responsibility to verify that the ordered products are fully compatible, properly sized, and rated to operate safely under their unique manufacturing environment, target operating pressures, and statutory regional safety laws.

Pricing, GST, Quotations, and Foreign Brand Imports

No transactional pricing published on this website (if any) represents a binding commercial offer. Official procurement transactions are governed by the following criteria:

• Written Quotations: All prices are binding only when presented in a formal, numbered written quotation issued by our sales division, signed by an authorized manager. Standard quotations remain valid for the period specified on the face of the quote.
• GST & Tax Mandates: All prices are quoted exclusive of statutory Goods and Services Tax (GST) and domestic packing/forwarding charges, which will be levied additionally on tax invoices per applicable Indian regulations.
• Foreign Currency Adjustments: For imported component brands, we reserve the right to revise commercial quotes prior to order finalization in the event of extreme currency fluctuations or changes in customs import excise duties.

Delivery, Title Retention, and Risk of Damage

Unless explicitly agreed in a mutually signed procurement contract, all product sales are executed on an Ex-Works (EXW) warehouse basis. C MATIC CONTROL LLP's responsibility ends, and title along with the risk of physical damage/loss transitions entirely to the buyer, the moment the products are formally handed over to the buyer's designated carrier, transport agency, or shipping partner.

Force Majeure & Supply Constraints

The Company is fully discharged from performing any obligations under a purchase order in the event of a Force Majeure occurrence. This includes, but is not limited to, global manufacturer allocations, import delays, custom grid closures, national lockdowns, labor strikes, power grid failure, natural acts of God, or any supply chain failures completely beyond the reasonable operational control of C MATIC CONTROL LLP.

Strict Intellectual Property Protection

The custom system designs, engineering blueprints, custom pneumatic control panel layouts, and hydraulic circuit architectures developed by C MATIC CONTROL LLP represent highly valuable proprietary information. Buyers and visitors are strictly prohibited from copying, distributing, or reverse engineering any custom equipment supplied by C MATIC CONTROL LLP. Standard brand trademarks remain the exclusive property of their respective corporate owners.

Limitation of Liability and Indemnification

To the maximum extent permitted by applicable Indian law, C MATIC CONTROL LLP, its partners, and employees shall not be liable for any special, indirect, punitive, exemplary, or consequential damages. This includes, but is not limited to, loss of manufacturing profits, factory down-time, system failures, or industrial accidents resulting from the operation of components supplied by us. Under all circumstances, the Company's liability is capped to standard corporate limits and shall not exceed the actual transaction value paid by the buyer.

Governing Law and Legal Seat of Dispute

These Terms of Service, along with all formal corporate quotations, supply invoices, and purchase contracts, shall be governed by, and interpreted exclusively in accordance with, the national laws of India. Any legal actions, arbitrations, or commercial disputes arising directly or indirectly from your interaction with this platform or C MATIC CONTROL LLP services shall be subject to the exclusive competent jurisdiction of the competent courts of Maharashtra.
